What is a Manufacturing Agreement?

A Manufacturing Agreement, or also referred to as a Manufacturing Contract, is a legally binding document used by manufacturers and companies to create terms and conditions for the manufacture of products that are intended for use in their respective business-to-business transactions. This legally binding document points out all of the key obligations of the manufacturer or inventor and the company or the customer.

A complete Manufacturing Agreement must include the following information:

• The full legal name of the manufacturer or the inventor
• The full name of the company
• Recitals
• Terms and conditions
  • The list of the products to be sold by the manufacturer or the inventor
  • The amount the company must pay to the manufacturer or the inventor in U.S. dollars

  • The provision for the termination of this Manufacturing Agreement
    • Allowed number of days to send a written notice about the agreement termination

    • Governing Law - This Manufacturing Agreement will be governed in all respects by the laws of the state both the manufacturer or inventor and the company is currently residing in. Both parties must agree that this choice of the law, venue, and jurisdiction is not permissive, but mandatory in nature.
    • Language - All of the notices, communications, provisions, terms, and conditions stated in this Manufacturing Agreement must be stated using the English language.
    • Assignment - This Manufacturing Agreement and all of the rights that have been granted to the manufacturer or the inventor and the company cannot be assigned, sold, leased, or transferred by the parties involved to people outside of the contract.
    • Amendments - This Manufacturing Agreement can only be amended once it has been done in writing by the manufacturer or inventor and the company.
    • No waiver - None of the terms or conditions on this agreement will be deemed as waived by any actions done by the manufacturer or the inventor and the company. Only an additional written agreement delivered by both of the parties can constitute a waiver of any of the terms and conditions stated in this Manufacturing Agreement.
    • Severability - In cases wherein any of the terms and conditions stated in this Manufacturing Agreement are deemed illegal, invalid, or unenforceable, the rest of the provisions will not be affected and will remain legal, valid, and enforceable.
    • Public announcement - Both the manufacturer or the inventor and the company are not allowed to make a public announcement about the existence of this Manufacturing Agreement or any of the terms and conditions stated on the agreement.
    • Entire agreement - This Manufacturing Agreement will constitute the entire agreement between the manufacturer or the inventor and the company and will supersede any prior agreements.
    • Headings - The headings used for this Manufacturing Agreement will only be used for convenience and will not be construed to limit, harm, or affect the terms and conditions that have been stated.

Item 3. Returns and Refunds

In cases wherein the company receives any defective products from you within the agreed-upon number of days on delivery, you must then agree to refund the company for the products they have purchased.

Item 4. Term

This Manufacturing Agreement will start and end according to the term period agreed upon by both parties.

Item 5. Termination

Both parties have the right to terminate this Manufacturing Agreement at any time. The termination of this agreement will only become valid after a written notice about the termination will be sent to either of the parties within the allowed number of days.
