Independent Contractor

Expenses

Proprietary Rights

This section states that the Casting Director acknowledges that it shall not have any right to or interest in the work product resulting from the services performed, or any of the documents, reports, or other materials created by the Casting Director, nor any right to or interest in any copyright therein.

It states further that the Casting Director acknowledges that the services and the products have been specially commissioned or ordered by the Producer as “works made-for-hire” as that term is used in the Copyright Law of the United States of America and that the Producer is deemed an author of and the owner of all copyrights to the materials.

Credits

This section states that the Casting Director shall be entitled to screen credit on a single card in the main titles in the position immediately following the final credit given to acting talent and preceding any other credit that may be given for casting.

Termination

This section provides for the termination of the Casting Director Agreement:

  • Either party may terminate the Agreement by providing a thirty (30) days written notice to the other party;
  • The party may terminate the Agreement if the other party violates its obligations by sending a thirty (30) day written notice. Upon receiving the notice, the defaulting party has 30 days from the date of the notice to cure any such default. Otherwise, the party providing notice shall have the right to terminate the Agreement.

Assignment

This section states that the Casting Director shall not assign any of their rights under the Agreement, or delegate the performance of any of the obligations or duties hereunder, without the prior written consent of the Producer and any attempt by the Casting Director to assign, transfer, or subcontract any rights, duties, or obligations arising hereunder shall be void and of no effect.

Notices

This section states that any notices, bills, invoices, or reports required under this Agreement shall be received on:

  • The day of the delivery if delivered by hand during the receiving party’s regular business hours or by facsimile before or during the receiving party’s regular business hours; or
  • On the second business day following deposit in the United States mail, postage prepaid, to the addresses below, or such other addresses as the parties may, from time to time, designate in writing according to the provisions of this section.

Dispute Resolution

This section states that all disputes under this Agreement shall be settled by arbitration before a single arbitrator pursuant to the commercial law rules of the American Arbitration Association. The arbitration may be commenced at any time by any party by giving written notice to the other party to a dispute that such dispute has been referred to arbitration.

It also states that this arbitration provision shall be specifically enforceable by the parties and the decision of the arbitrator shall be final and binding without the right of appeal.

It states further that neither party’s liability on any claim, loss, or liability arising out of or connected with this agreement shall exceed the amounts paid to the casting director during a certain number of months immediately preceding the event giving rise to such claim or action by the producer.

Entire Agreement Amendment

This section states that the Agreement is the final, complete, and exclusive agreement of the parties concerning the subject matter and supersedes and merges all prior agreements, whether written or oral, between the parties relating to the subject matter and all past courses of dealing or industry custom. Modification or amendment to this Agreement shall be effective unless it is written and signed by each party.

Waiver

This section states that the waiver of either party of a breach of or a default under any provision of this Agreement shall not be effective unless it is in writing. It shall not be construed as a waiver of any subsequent breach or default under the Agreement, nor shall any delay or omission on the part of either party to exercise or avail itself of any right or remedy that it has or may have hereunder operate as a waiver of any right of remedy.
